A non-profit Association is established in Larissa, in accordance with the provisions of Articles 78 et seq. of the Civil Code, under the name\u00a0\u201cUnion of Decorators of Greece (U.D.G.)<\/b>\u00a0and abroad\u00a0\u201cHELLENIC\u00a0<\/b>INTERIOR\u00a0<\/b>DESIGNERS<\/b>\u00a0ASSOCIATION\u201d (The<\/b>ID<\/b>A).<\/b><\/p>

THE ASSOCIATION OF DECORATORS OF GREECE \u2013 S.DEC.GR. is the Panhellenic Body of Decorators and is established upon the initiative of the following existing Professional Decorator Associations:
a) Union of Decorators of Central Greece \u2013 E.DI.K.E. a non-profit association founded in 1999.<\/strong>
b) Union of Window Dressers of Thessaly \u2013 E.DI.VI.THE. association founded in 2004.<\/strong><\/p>

c) Thessaly Association of Exhibition Booth Decorators (E.D.I.E.P.E.TH.)\u2014an association founded in 2004.<\/strong><\/p>

The members of the above Associations, who had registered by 31-12-2012, if they so wish, as well as the independent decorators who sign this statute, are considered founding members of the \u00abASSOCIATION OF DECORATORS OF GREECE\u00bb.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t

\n\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\t\t\tArticle 2 - Purpose \/ Means<\/a>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t

The purpose of the Association is the unification of its members for the promotion, visibility, and safeguarding of interior architecture in Greece.<\/p>

The promotion of all forms of cooperation among its members, for the progress of studies and education and the effective protection of the general interests of Decorators, by demonstrating active solidarity in their professional and scientific activity in the fields of interior architecture, landscape architecture, object design, and educational career.
The promotion of the distinguished professional identity of the sector and the safeguarding of the professional rights of interior architects, combined with the strengthening of the pan-Hellenic structure, constitute the framework of action of the Association.<\/p>

2.1.<\/b>\u00a0\u00a0The Association pursues public-benefit and educational purposes. These consist of:<\/b><\/p>

1) The study, promotion, projection, and dissemination of the principles and practice of interior architecture and the elements that ensure quality of life, by maintaining or achieving conditions of balanced, healthy, and ecological development for all types of human activities and interventions.
2) In organizing the education and training of members who are either employed as freelancers or are already serving in private or public sector enterprises, or intend to be employed in them in the future, and of their services. Education will be provided mainly through educational programs, events, conferences, etc. of an educational nature, with the main content being continuous education, specialization, and training.<\/p>

3) In the care and protection of the natural environment, as a space inextricably linked to the individual as a member of the social whole, within which their health is protected and their personality is developed.
4) Participating in related bodies at the national and international level and cooperating with them, as well as in social organizations with similar purposes.<\/p>

5) In its establishment as an institutional advisor to the State on matters within its competence.
6) In the study, protection and promotion of the economic, insurance, professional and moral interests of its members.
7) In elevating their living, professional and cultural standards and in cultivating a spirit of branch consciousness and unity among them.
8) To the systematic, active and continuous monitoring of professional issues and the mobilization of the sector for their resolution.
9) Establishment of a mutual aid fund in order to provide moral and material assistance to its members.
10) In securing the intellectual property rights to its creator (i.e., the Decorator).<\/p>

2.2.\u00a0 \u00a0<\/b>The association will pursue the achievement of the above purposes by any lawful and legitimate means, and specifically:<\/b><\/p>

1) The enlightenment of its members and the general public regarding issues concerning decorators.
2) Publication of the EDIE magazine or other printed material.
3) The organization of exhibitions, speeches, lectures, libraries, reading rooms, clubs, and any other related event, with the aim of the continuous training and education of the Union's members, and at the same time the promotion of the work of decorators to the general public.
4) The participation of the Union in broader professional associations, its connection with the Greek and international professional movement, and its active participation in the struggles of creators for their claims and other causes, both in Greece and internationally.
5) The organization of subsidized or non-subsidized seminars by state and\/or European bodies for the continuous training of its members in new technologies.
6) The development and facilitation of creative expression, especially for young decorators.
7) The establishment and\/or participation in cooperatives, civil non-profit companies, Social Cooperative Enterprises (Koin.S.Ep.) and any other forms of organization that may be provided for in the future by Greek and European legislation, as well as participation in programs related to the interests of the members.
8) The search, research, preservation, and utilization of the archives of past decorators and the creation of a History of Decoration Archive
9) Creation of a Union clubroom and Establishment of a library.
10) Establishment of schools and a Chamber of Applied Arts with related professions.
11) Drafting an informal code of collegial ethics.
12) Publication of printed material, announcements in the daily and periodical press, etc.
13) Creation of conditions for the procurement by the Union of materials for the artistic work of decorators at low prices and generally by any legal means chosen as appropriate for each occasion by the Board of Directors of the Union<\/p>

2.3.\u00a0\u00a0<\/b>To achieve its objectives, the Union may:<\/b><\/p>

1) To represent or cooperate with universities, colleges, professional organizations, and other entities from Greece and abroad, for the attendance and acquisition of degrees in the fields of its interest
2) To design, organize, undertake, and implement education, training, and professional development programs for its members who are private sector business executives, as well as research projects, studies, and publications related to its purposes.
3) To undertake the management of investment programs, state aid, training in Community initiatives, and innovative technological programs co-financed by national and Community resources, as well as the provision of Technical Consultant services.
4) To establish within or outside Greece or to participate in the establishment of other legal entities with the same, similar, or related purposes to the Association, by decision of the Board of Directors, which shall be ratified at the first ordinary General Assembly of its members following the decision. It may also establish and participate with third parties in joint ventures or associations of persons in order to participate in public tenders and any corresponding tender procedure of any kind.
5) Indicatively, but not restrictively, to create or lease suitable facilities, hire specialized associates, scientists, and professors, or assign projects and use the services of third-party specialized bodies, and undertake publications and productions of various audiovisual media.
6) Generally, to use any other legal and appropriate means to achieve its purposes.
A portion of the expenses required to achieve the above purposes and activities of the Association may be covered by national resources, European Union Fund resources, or other lawful resources, or by the participation\u2014in whole or in part\u2014in the expenses of the aforementioned activities of the Association by those participating in them.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t

The Union has its own seal, on which its name and the year of its foundation are inscribed. It also has a seal with its logo and a seal with its tax details.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

Chapter 2<\/h2>

\n\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\t\t\tArticle 4 - Distinction of Members<\/a>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t

4.1.<\/b>\u00a0Members of the Association may be, in accordance with the terms of this article, natural persons, who are classified into regular, candidate, student, corresponding, supporting, and honorary members.
<\/b>4.2.<\/b>\u00a0\u00a0Members of E.D.I.E. are entitled to participate in General Assemblies; regular members have the right to speak and vote, while probationary members, students, and volunteers, honorary members, and corresponding members have only the right to speak. Only full members of the association have the right to vote and be elected, provided they are financially
<\/b>up to date
4.3.<\/b>\u00a0 Members of E.D.I.E. are issued a special identification card (ID) by the Association at least every three (3) years, which indicates their membership category
4.4<\/b>.\u00a0Regular members<\/b>\u00a0can be:<\/p>

Natural persons<\/b>, provided they reside in Greece and fall into at least one of the following categories:
\u2013 Graduates of a university-level educational institution, who upon their registration and for at least\u00a0three years<\/b>\u00a0they actively practice decoration
\u2013 Graduates of private liberal studies laboratories or vocational training institutes (IEK and IIEK), who upon enrollment and for at least\u00a0five-year period<\/b>\u00a0they actively practice decoration
\u00a0\u2013 Non-degreed practitioners, who upon their registration and for at least the last\u00a0decade<\/b>\u00a0they actively practice the profession of decorator.<\/p>

4.5.<\/b>\u00a0\u00a0Probationary members<\/b>\u00a0can be:<\/p>

Natural persons, provided they have their tax residence in Greece and fall into at least one of the following categories:
\u2013 Graduates of a university-level educational institution who, at the time of registration, hold a position as an associate or employee working as a decorator at companies in related fields
\u2013 Graduates of open-enrollment workshops, IEK, and IIEK programs who, at the time of enrollment, hold a position as an associate or employee working as an interior decorator at companies related to the industry
\u2013 Graduates of a university or other higher education institution, who have held a teaching position in the field of interior architecture for at least five consecutive years.
\u2013 Graduates of a university or other higher education institution who have been working for less than 2 years in the field of interior architecture.<\/p>

4.6.<\/b>\u00a0Student members<\/b>\u00a0Spoudastika members<\/b>\u00a0Eligible candidates are those who are interested in the Association\u2019s goals and are in the penultimate or final year of their studies at university-level educational institutions.
Student members may retain their membership status for up to four years after completing their studies. The period during which membership status is extended is prolonged by the duration of any graduate studies and for as long as those studies continue.<\/p>

4.7.<\/b>\u00a0Corresponding Members<\/b>\u00a0They may be natural or legal persons who reside or have their headquarters abroad and demonstrate an interest in the Association's mission.<\/p>

4.8.<\/b>\u00a0Supporting Members<\/b>\u00a0They may be individuals or legal entities that intend to assist the Association in achieving its purpose.<\/p>

4.9. Honorary members<\/b>\u00a0Persons who have made an exceptional contribution to its progress, as well as persons who have distinguished themselves for their exceptional contribution to the progress of the Union, may be proclaimed. Honorary members are proclaimed by a special decision of the Board of Directors, which shall be ratified by the first General Assembly following the decision.<\/p>

4.10<\/b>\u00a0The following persons may not be members of the Association: a) anyone who has been irrevocably deprived of their civil rights, and b) anyone who has been irrevocably sentenced to imprisonment or detention for theft, embezzlement, fraud, rape, extortion, forgery, bribery, oppression, breach of trust in the performance of official duties, counterfeiting, or embezzlement.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t

\n\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\t\t\tArticle 5 - Admission of Members<\/a>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t

5.1.<\/b>\u00a0For the admission of a regular, probationer, student, corresponding, and supporting member, an application by them is required, accompanied by:
(a) a statement by the individual that he or she has read these Bylaws and the Code of Ethics and that he or she accepts them unconditionally,
(b) a solemn declaration that he or she does not fall under any of the cases of the paragraph\u00a04.10<\/b>\u00a0of the article\u00a04<\/b>.
c) short CV
(d) payment of the specified registration fee and annual dues for his or her registration category.
e) The application can also be submitted electronically, via the Association's website<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t

\n\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\t\t\tArticle 6 - Members' Rights<\/a>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t

6.1.<\/b>\u00a0Regular members have the right to equal participation in the General Meetings and in the Administration of the Association, provided they are financially up to date. They have\u00a0right to speak, control, criticize and vote<\/b>\u00a0at the General Assembly, as well as\u00a0right to vote and to be elected<\/b>, provided they are up-to-date with their financial dues. Furthermore, they have the right to audit the Administration, to be informed about the progress of all affairs of the Union, and to inspect and obtain copies of the Union's Books, following a written request to the Board of Directors.
6.2.<\/b>\u00a0The other members, apart from the full members, may attend the General Assemblies without the right to vote and to be elected.
6.3.<\/b>\u00a0All members have the right to participate in the meetings and other events of the Association, to enjoy the benefits deriving from membership, and to withdraw from the Association freely.
6.4.<\/b>\u00a0Members may be represented at the General Meeting of the Association by other members to whom they have delivered a written authorization, which may also specify their intent regarding their vote on the individual items of the agenda of the General Meeting. The authorization cannot apply in the case of elections, where absent members may vote using the procedure specified in Article 7 herein.
A member may represent up to ten (10) absent members.
6.5.<\/b>\u00a0Members may authorize the President or the Secretary General of the Board of Directors to represent them at the General Assembly, to whom they have delivered or sent a relevant written authorization, which precisely specifies their voting intention on the individual items of the General Assembly agenda. The authorization cannot concern the case of elections, where absent members may vote using the procedure specified in the article\u00a023.6<\/b>\u00a0and\u00a023.7<\/b>\u00a0hereof. There is no limit to the number of absent members that the President or the General Secretary may represent.
In either of the two above cases of authorization, provided that their intent is not specified on one or more of the items on the agenda, then the vote of the represented members on the specific item or items shall be deemed to be a \u2019blank\u201c vote.
6.6.<\/b>\u00a0\u00a0Members of the Union who leave may re-register.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t

\n\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\t\t\tArticle 7 - Obligations of Members<\/a>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t

7.1.<\/b>\u00a0Members are obliged to make every effort to fulfill the purpose of the Association, to willingly execute the tasks they have undertaken, and to comply with the provisions of this Statute and the Internal Regulations.
7.2.<\/b>\u00a0Members are required to pay their subscription regularly and without fail, and to fulfill their remaining financial obligations to the Union in a timely manner.
7.3.<\/b>\u00a0The members' admission (registration) fee is deposited into a special Fund code, as a solidarity account, which is created and used exclusively for the financial support of members who are in\u00a0proven<\/b>\u00a0critical economic situation.
7.4.<\/b>\u00a0Members are entitled to advisory support from the legal, financial, and tax consultants of the Union regarding respective issues they face in their working environment. In the event that they wish to cooperate privately with the respective consultants, they shall pay a fee, which shall be determined by the Board of Directors and communicated to the members at the beginning of each year.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t

\n\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\t\t\tArticle 8 - Resignation \/ Member Deletion \/ Disciplinary Procedure<\/a>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t

8.1.<\/b>\u00a0Each member of the Association may freely resign from this status at any time, by means of a simple written statement to that effect addressed to the Board of Directors.
8.2.<\/b>\u00a0The resignation is considered to have taken place from the day on which the relevant declaration of the resigning party was read at a meeting of the Board of Directors.
8.3.<\/b>\u00a0Any full member is expelled from the Association by a decision of the Board of Directors, which is definitively approved by the General Assembly, if they:
a) He definitively cuts off his ties with the profession.
(b) Repeatedly fails to comply with the statutes, the internal regulations, or the decisions of the bodies of the Union.
c) Acts and behaves in a manner contrary to the aims and interests of the Union.
d) He exhibits behavior that is inappropriate and incompatible with his status as a member of the Union.
e) He unjustifiably delays his financial obligations for more than six months.
8.4.<\/b>\u00a0The decision of the Board of Directors shall be communicated to the expelled member within thirty days from its adoption.
The member being expelled has the right to appeal the decision of the Board of Directors at the immediately following General Assembly, which also makes the final decision.
However, from the day of the Board of Directors' decision until the discussion of the expelled member's appeal at the General Assembly, the latter's status as a member of the Association is suspended.
A member who is expelled for all reasons except for (d) has the right to re-register in the Association, provided that they prove, at the discretion of the Board of Directors, that they once again meet the necessary conditions of this statute.
8.5.<\/b>\u00a0Every member who automatically lost this status or was expelled from the Union, in accordance with the provisions of this article, remains liable for their financial obligations to the Union up to and including the day of the loss of their status as a member or their expulsion. The annual subscription is deemed due in full, regardless of the time of the loss of membership status or expulsion during the year.
8.6.<\/b>\u00a0A member of E.DI.E. does not lose their membership status when they do not practice the profession of Interior Designer in the following cases:
a) of illness or unemployment
(b) strike or lockout
c) withholding of labor
d) employer's default
e) further training in interior architecture
f) leave with or without pay up to one year
z) maternity and paternity leave.
h) practices the profession of Professor of a Higher or Highest School or other recognized School with the corresponding subject in general.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t

\n\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t<\/i><\/span>\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\t\t\tArticle 9 - Local Teams \/ Association Offices<\/a>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t

9.1.<\/b>\u00a0The Association may, by a special decision of the Board of Directors, which shall be ratified at the first regular General Assembly of its members following the decision, establish\u00a0Local Groups\u00a0<\/b>outside of its registered office, within or outside of Greece, through which its purposes are pursued in geographical areas where its members operate professionally. Furthermore, the Association, by a special decision of its Board of Directors, which shall be ratified at the first ordinary General Assembly of its members following the decision, may terminate or suspend the operation\u00a0Local Team<\/b>, provided that it is deemed to no longer serve the purposes of the sector.
9.2<\/b>.The Union may maintain other offices in addition to its headquarters, within or outside its registered seat or outside Greece. Matters concerning the organization and operation of these offices shall be governed by relevant Internal Regulations.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

ADMINISTRATIVE BODIES OF THE UNION<\/b><\/p>

The bodies of the Union are the Board of Directors, the General Assembly, and the Audit Committee.<\/p><\/div><\/div>\n <\/section>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

10.1.<\/b>\u00a0The Association is governed by a Board of Directors which consists of\u00a0from seven (7) to thirteen (13) members<\/b>. Of these, one member is the immediate past President of the Board of Directors, if they so wish, whose term as a member thereof has ended, unless re-elected.\u00a0
10.2.<\/b>\u00a0The term of office of the members of the Board of Directors is three years. The elected members are eligible for reelection. A member of the Board of Directors who is unjustifiably absent from 3 consecutive Board meetings ceases to be a member of the Board of Directors and their position is taken by the alternate member with the highest number of votes.
10.3.<\/b>\u00a0The election of the members of the Board of Directors by the General Assembly, in accordance with the provisions of this Statute, is conducted on the basis of the candidacies or proposals submitted to the outgoing Board of Directors at least\u00a0ten full days earlier<\/b>. Nobody may be elected unless they submit a candidacy. Based on the above candidacies and proposals, the Board of Directors draws up a single ballot paper containing in alphabetical order all those who declared their candidacy or were proposed in accordance with the above. The members of the Board of Directors are elected by preference cross. Following the end of the voting, a sorting and counting of the preference crosses takes place, and those who have the highest number of preference crosses are elected as Directors in order, until the number of elected members is completed. Apart from the preference crosses, any other mark or addition on the ballot paper shall not be taken into account.
10.4.<\/b>\u00a0Within 10 days of the elections, upon the initiative of the board member who received the most votes, the elected board members shall convene and form a body by electing from among themselves, separately and by a simple majority of those present, a President, a Vice President, Secretary General, and Treasurer. In the event of a tie, a draw shall be held.
The EU follows the exact same procedure for electing a president from among its members.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t

11.1.<\/b>\u00a0The Board of Directors represents the Association before any natural and legal person, the Courts and any Authority, manages the property of the Association and binds the Association contractually and in rem.
11.2.<\/b>\u00a0The Board of Directors determines the action plan of the Association, decides on the adoption of any measure that, in its judgment, is appropriate for the fulfillment of its purpose, approves, amends, and repeals the Internal Regulations, and generally manages the affairs of the Association.
11.3.<\/b>\u00a0Once the Board of Directors is constituted as a body, it may appoint an Executive Committee consisting of three (3) members from among the elected or alternate candidates of the Board of Directors. The President of the Executive Committee shall be the President of the Board of Directors or another member appointed by the President himself. The responsibilities and the operating procedures of the Executive Committee shall be determined by decisions of the Board of Directors. The decisions of the Executive Committee shall be announced to the Board of Directors at its first meeting following the adoption of such decisions.
11.4.<\/b>\u00a0As soon as the Board of Directors is constituted as a body, it appoints an Ethics Committee consisting of three members from among the elected or substitute candidates of the Board of Directors. The respective Vice President is responsible for the operation of the Ethics Committee. The responsibilities and operating procedures of the Committee shall be determined by decisions of the Board of Directors. The decisions of the Committee shall be announced to the Board of Directors at its first meeting following their adoption.
11.5.<\/b>\u00a0The Board of Directors may issue orders, powers of attorney, or authorizations to perform material acts or legal transactions to its members or third parties. The Executive Committee has the same right, within the limits of the responsibilities assigned to it by the Board of Directors. In the case of Authorities and Courts, the orders, powers of attorney, and authorizations are granted by the Board of Directors.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t

12.1.<\/b>\u00a0The Board of Directors meets regularly, specifically once every two months, (i.e. in the odd months 1Who<\/sup>, 3Who<\/sup>, 5Who<\/sup>, 7Who<\/sup>, 9Who<\/sup>, 11th), and extraordinarily, when its President deems it necessary or at least three of its members request it in writing from the President, who must necessarily state the subjects to be discussed in their document. The Board of Directors may also meet outside the central offices of the Association and even outside its registered seat, within or outside Greece. The start and end of the meetings of the Board of Directors are declared by the President, who also directs the discussions and puts the matters to a vote.
12.2.<\/b>\u00a0The Board of Directors always convenes following a written invitation from the President to its members, which must necessarily contain the place, time, and items of the agenda. If, in the event that an extraordinary meeting of the Board of Directors is requested by at least five of its members, the President does not convene the Board of Directors within three days, those who requested it may do so by a written invitation to the remaining members, which must necessarily contain the place, time, and items of the meeting.
12.3.<\/b>\u00a0The Board of Directors is in a quorum if at least two-thirds (2\/3) of its members are present, among whom there must necessarily be\u00a0the President or the Vice President<\/b>\u00a0and the Secretary General.
12.4.<\/b>\u00a0The members of the Board of Directors are personally and jointly and severally liable for the fulfillment of their obligations arising from these Articles of Association, the law, and the decisions of the General Assembly. A Board member who is unjustifiably absent from 3 consecutive Board meetings shall be dismissed from office and replaced by the alternate member who received the highest number of votes.
12.5.<\/b>\u00a0The decisions of the Board of Directors are taken by a simple majority of the members present. In the event of a tie, the Chairman is deemed to have two votes. Decisions of the Board of Directors that are taken in violation of the provisions of these Articles of Association or the Law are null and void.
12.6.<\/b>\u00a0The minutes of the Board of Directors meetings are recorded in the book kept precisely for this purpose and are signed by the President and the Secretary General or, in the event of the absence of one or both of them, by two other members who are present accordingly. Copies and excerpts of the above minutes are issued and certified by the President or the Secretary General.
12.7.<\/b>\u00a0The Board of Directors may also meet outside the central offices of the Association and outside its registered seat, but also online in emergency cases.\u00a0<\/b><\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t

13.1.<\/b>\u00a0The President, in addition to his other responsibilities stemming from this Statute, directs, monitors, and controls the activities of the Association, represents the Association in all its relations with third parties, both judicially and extrajudicially, and before any authority and any court, and signs the outgoing documents of decisive importance of the Association together with the General Secretary.
13.2.<\/b>\u00a0He convenes and presides over the meetings of the Board of Directors and supervises the execution of the decisions made.
13.3.<\/b>\u00a0He\/She concludes agreements or contracts with third parties, in the name and on behalf of the Union, following approval by the Board of Directors.

15.1.<\/b>\u00a0The Secretary-General oversees compliance with the procedures for the admission, transfer, and removal of members and makes relevant recommendations to the Board of Directors of the Union. They oversee the drafting and keeping of the minutes of the Board of Directors' meetings.<\/p>

15.2.<\/b>\u00a0He keeps the archives and correspondence, both printed and electronic, of the Association, is responsible for the proper drafting of the minutes of the BoD meetings, signs all related outgoing documents of the Association, both printed and electronic, together with the President, and maintains and updates the register of members of the Association.
15.3.<\/b>\u00a0Along with the President, he prepares the Association's annual activity report, keeps the Association's seal, and is responsible for the offices, the library, the publications, and the events of the Union.
15.4.<\/b>\u00a0When the Secretary General is absent, he is replaced by one of the members of the Board of Directors. It goes without saying that by specific decisions of its own, the Board of Directors may also assign specific responsibilities to its remaining members.<\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t\t

16.1.<\/b>\u00a0The Treasurer of the Union is responsible for collecting members' subscriptions, maintains the cash book and other accounting records, and keeps all expense vouchers. They receive against a receipt any amount from wherever it originates and deposit every amount into a Bank,\u00a0which is over 200\u20ac.<\/b>\u00a0
16.2.<\/b>\u00a0He executes every payment on the basis of a payment order countersigned by the President. The withdrawal of the Union's funds is made upon the written order of the President. He makes the cash statement available to the Board of Directors and the Audit Committee at any time and, every two months, draws up and submits to the Board of Directors cash flow statements, which contain in detail the revenues and expenses along with the relevant supporting documents. When he is absent or impeded, he is replaced by a member of the Board of Directors following a decision by the remaining members of the Board of Directors.
16.3.<\/b>\u00a0Along with the President, he works on drafting the Union's annual budget and income-expense statement.
